Sayenko Kharenko advises Orexim on the sale of leading port terminal to Glencore Agriculture Limited

Sayenko Kharenko advises Orexim Group (Orexim), a major Ukrainian logistics group, on the sale of a port terminal “Everi” (Everi) to Renaisco B.V., a subsidiary of Glencore Agriculture Limited.
Sayenko Kharenko provided the full-scope sell-side legal support for the transaction, including advising on complex corporate law matters, drafting and negotiating transaction documents, obtaining merger clearance from the Antimonopoly Committee of Ukraine, providing deal implementation support, pre-completion and completion assistance to the Seller.
“We are proud to complete one of the largest port infrastructure deals over the last few years and one of the largest Ukrainian M&A deals in 2020. Orexim is engaged in export of agricultural products, as well as providing port and logistics services. Starting as a small trading company in 2004, Orexim has developed into a large entity with over 1,000 employees. During the period of its development, Orexim has invested more than USD 100 million into its assets.
Everi terminal facility was built in 2010 and last expanded in 2018. It has a static storage capacity of 160,000 metric tonnes (mt). The Everi port terminal has capacity to load up to 1.5 million mt of vegetable oil per year for export destinations.
