Kyiv - DLA Piper advised East Balt Group, a leading global bakery business spanning four continents with 20 bakeries in 12 countries, on the transaction of its acquisition by One Equity Partners (OEP), the private investment arm of JP Morgan Chase & Co.

Many DLA Piper's offices worked on the transaction, including offices in the USA, Russia and Ukraine due to the cross-border nature of the transaction. Ukrainian part of the transaction was recently completed upon obtaining of required regulatory approval.

The Kyiv team provided full legal support to the shareholders of East Balt Group with regard to transfer of Ukrainian assets of the group to the buyer. We did pre-transactional restructuring, assisted with merger clearance of the Antimonopoly Committee of Ukraine, prepared share purchase agreement and provided tax advice.

Ukrainian part of work required the cross-functional expertise from the lawyers. Corporate law team was composed of Margarita Karpenko, Managing Partner,  Galyna Zagorodniuk, Legal Director  and Maryna Bychkova, Associate. llya Sverdlov, Legal Director, advised on tax related issues.
