CMS has advised PJSC Ukrsotsbank, the Ukrainian branch of key client UniCredit, and ING Bank N.V. on a USD 100 million corporate and acquisition financing to the leading Ukrainian agribusiness Kernel Holding. Kernel Holding is listed on the Warsaw stock exchange and is the largest vertically-integrated agro-industrial company in Ukraine, the largest producer and exporter of bottled sunflower oil, and one of the country’s largest grain exporters.

CMS Partner Mark Segall commented: “Ukraine remains the most important agricultural market in the region in terms of production and export and is home to some strong global players. We are pleased to have advised UniCredit and ING on a loan to a leading company in the sector.” 

The team advising the lenders was led by UniCredit relationship partner Mark Segall and comprised Mills Kirin and Marie Olsarova in Prague as well as Victoria Kaplan and Taras Stasiv from CMS in Kyiv. Other CMS offices involved in the deal were CMS Luxembourg (Vivian Walry, Franck Farjaudon, Natalia Hernandez, Chloe Dellandrea and CMS Zurich (Kaspar Landolt, Dominique Gemperli). On off-shore issues CMS was supported by Harneys (British Virgin Islands and Cyprus) and Arias, Fabrega Fabrega (Panama).
